Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Descant, an autonomous software-engineering service operated by Autonomy (“we”, “us”). By accessing or using Descant, or by clicking to accept these Terms, you agree to be bound by them. If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization.

The service

Descant connects to source-code repositories you authorize and runs autonomous agents that plan, implement, review, and propose changes to your code. You remain responsible for reviewing and approving any changes before they are merged or deployed.

Beta status

Descant is offered as a closed beta. Features may change, be suspended, or be discontinued at any time, and availability is not guaranteed. We may impose or adjust usage limits during the beta.

Your responsibilities

  • You must have the right to connect any repository you grant us access to, and to permit automated changes to it.
  • You are responsible for safeguarding your account credentials and for all activity that occurs under your account.
  • You will not use Descant to violate any law, infringe any third party’s rights, or attempt to disrupt or reverse engineer the service.
  • You are responsible for reviewing agent-proposed changes before accepting them; you retain control over what is merged.

Your content and intellectual property

You retain all rights to the source code, repositories, and other materials you provide (“Customer Content”), and to the changes our agents produce from them. You grant us a limited license to access and process Customer Content solely to provide the service. We claim no ownership of your Customer Content.

Data processing

Our processing of personal data within Customer Content is governed by our Data Processing Agreement and described in our Privacy Policy.

Fees

Descant bills for the work that ships. Pricing, billing terms, and any spend limits applicable to your account are presented when you enroll and may be updated for the beta with reasonable notice.

Confidentiality

We treat Customer Content as confidential and use it only to provide and improve the service in accordance with these Terms, the DPA, and our Privacy Policy. We do not sell your Customer Content.

Disclaimers

Descant is provided “as is” and “as available” without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. Automated changes may contain errors; you are responsible for reviewing them before use.

Limitation of liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, arising out of or related to these Terms or the service. Our aggregate liability for any claim is limited to the amounts you paid us for the service in the three months preceding the claim.

Term and termination

You may stop using Descant at any time. We may suspend or terminate access if you breach these Terms or to protect the service or other customers. On termination, we will delete or return Customer Content as described in the DPA.

Changes to these terms

We may update these Terms as the product evolves. When we make material changes we will revise the “Last updated” date above and, where appropriate, notify you. Continued use after a change constitutes acceptance.

Governing law

These Terms are governed by the laws of the jurisdiction in which Autonomy is established, without regard to conflict-of-laws rules.
