These Terms of Service (“Terms”) govern your access to and use of Descant, an autonomous software-engineering service operated by Autonomy (“we”, “us”). By accessing or using Descant, or by clicking to accept these Terms, you agree to be bound by them. If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization.
The service
Descant connects to repositories you authorize and performs software development work, including planning, implementation, verification and review. Depending on the settings you choose, Descant may open pull requests for your team to merge or merge changes automatically. You are responsible for the repositories and workflows you authorize, the controls you configure, and deciding whether changes are suitable for deployment and your intended use.
Accounts and access
To use Descant, create an account and provide accurate account information. Available features and usage limits are described in the product or your order.
Features may change, be suspended, or be discontinued at any time, and availability is not guaranteed. We may impose or adjust usage limits.
Your responsibilities
- You must have the right to connect any repository you grant us access to, and to permit automated changes to it.
- You are responsible for safeguarding your account credentials and for all activity that occurs under your account.
- You will not use Descant to violate any law, infringe any third party’s rights, or attempt to disrupt or reverse engineer the service.
- Configure the review, testing, branch-protection and merge controls appropriate to your project. Enabling automatic merging authorizes Descant to merge in accordance with your configuration.
Your content and intellectual property
You retain all rights to the source code, repositories, and other materials you provide (“Customer Content”), and to the changes our agents produce from them. You grant us a limited license to access and process Customer Content solely to provide the service. We claim no ownership of your Customer Content.
Data processing
Our processing of personal data within Customer Content is governed by our Data Processing Agreement and described in our Privacy Policy.
Fees
Descant uses prepaid credits. Credits are deducted for billable service usage at the applicable rates, including work performed on runs that do not result in a merged pull request. The product shows your usage, charges and available balance. Examples of cost per pull request are estimates, not fixed prices or guarantees of completion.
Credit prices and available purchase amounts are shown before purchase. Unless stated otherwise, prices are in US dollars. If you enable auto-reload, you authorize us and our payment processor to charge your saved payment method according to the settings you choose. You can change or disable auto-reload in billing settings.
Purchased credits do not expire while your account remains open. Credit purchases are non-refundable except where required by law or expressly agreed by us. Closing your account forfeits unused credits, subject to any legally required refund. This does not affect adjustments we make to correct billing errors.
Pricing, billing terms, and any spend limits applicable to your account are presented when you enroll and may be updated with reasonable notice.
Confidentiality
We treat Customer Content as confidential and process it to provide, maintain and secure the service in accordance with your instructions, these Terms and the DPA. We do not sell your Customer Content.
Disclaimers
Descant is provided “as is” and “as available” without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. Automated changes may contain errors; you are responsible for reviewing them before use.
Limitation of liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, arising out of or related to these Terms or the service. Our aggregate liability for any claim is limited to the amounts you paid us for the service in the three months preceding the claim.
Term and termination
You may stop using Descant at any time. We may suspend or terminate access if you breach these Terms or to protect the service or other customers. On termination, we will delete or return Customer Content as described in the DPA. Unused credits are handled as described in Fees.
Changes to these terms
We may update these Terms as the product evolves. When we make material changes we will revise the “Last updated” date above and, where appropriate, notify you. Continued use after a change constitutes acceptance.
Governing law
These Terms are governed by the laws of the jurisdiction in which Autonomy is established, without regard to conflict-of-laws rules.
